Overview

Welcome to Lazy Oak Coffee Co.

These Terms of Service (“Terms”) govern your access to and use of lazyoakcoffee.com.au, including purchases made through our online store and any associated content, features, products and services (collectively, the “Services”).

The terms “Lazy Oak Coffee Co.”, “we”, “us” and “our” refer to Lazy Oak Coffee Co. (ABN 17 634 451 037).

Our online store is hosted by Shopify, which provides the ecommerce platform that enables us to offer the Services to you.

By accessing or using the Services, creating an account or placing an order, you agree to these Terms and our Privacy Policy:

If you do not agree, you should not use the Services.

Nothing in these Terms excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded, including rights under the Australian Consumer Law.

1. Eligibility and accounts

You must have the legal capacity to enter into a contract to place an order. If you are under 18, you should use the Services only with the involvement of a parent or guardian.

You agree to provide accurate, current and complete information when creating an account or placing an order.

You are responsible for keeping your account credentials secure and for activity conducted through your account. Please contact us promptly if you suspect unauthorised access.

We may refuse or cancel an account that contains false information, impersonates another person or is being used unlawfully.

2. Products

We make reasonable efforts to describe and display our products accurately. However, screen settings, photography and packaging updates may cause colours or appearance to differ slightly from the product received.

Coffee is a natural agricultural product. Flavour, appearance, bean size and other characteristics may vary slightly between harvests, lots and roast batches. These reasonable variations do not affect your rights under Australian Consumer Law.

You are responsible for selecting the correct product, size and grind option before completing your order. Please follow any storage, preparation, refrigeration and best-before instructions supplied with the product.

Product descriptions, packaging, pricing and availability may be updated from time to time. We may discontinue products or reasonably limit purchase quantities where stock is limited or we suspect fraudulent or unauthorised resale activity.

3. Orders

Placing an order constitutes an offer to purchase the selected products.

We may accept or decline an order where reasonably necessary, including because:

  • A product is unavailable.

  • Pricing or product information contains an obvious error.

  • Payment cannot be authorised.

  • Delivery is unavailable to the supplied address.

  • We reasonably suspect fraud, misuse or unlawful activity.

If we decline or cancel an order after payment has been taken, we will notify you and refund the affected amount to the original payment method.

Please check your order carefully before submitting it. If you notice an error, contact us as soon as possible. We will try to update or cancel the order before preparation or dispatch, but this may not be possible once fulfilment has begun.

Unless a separate wholesale agreement applies, these Terms also apply to purchases made through the website by businesses and other organisations.

4. Prices and payment

Unless otherwise stated:

  • All prices are displayed in Australian dollars.

  • Prices include GST where GST applies.

  • Delivery charges are additional and are displayed before checkout is completed.

  • Any available discount must be applied before the order is submitted.

The price charged will be the price displayed at checkout when the order is placed, subject to correction of an obvious pricing or system error.

If we discover an obvious error affecting your order, we will contact you before fulfilment wherever practicable. You may confirm the order at the correct price or cancel it for a full refund.

You agree to provide accurate billing and payment information and confirm that you are authorised to use the selected payment method.

Payments may be processed by Shopify Payments or another third-party payment provider. Their terms and privacy practices may also apply to the processing of your payment.

5. Subscriptions

When you purchase a subscription, you are agreeing to an ongoing recurring purchase at the price, quantity and delivery frequency shown at checkout.

You authorise us and our payment provider to charge your selected payment method automatically on each scheduled billing date until the subscription is cancelled.

You may manage or cancel your subscription through your customer account or by contacting info@lazyoakcoffee.com.au. Cancellation must be completed before the next scheduled billing date to prevent the next order from being processed.

Cancelling a subscription stops future renewals. It does not automatically cancel or refund an order that has already been billed or prepared. Any refund for an already processed order will be handled under our Returns and Refunds Policy and Australian Consumer Law.

If a subscription product becomes unavailable, we may contact you to arrange a suitable alternative, pause the subscription or provide a refund. We will not substitute a materially different product without your agreement.

We may change subscription prices or terms prospectively by giving reasonable notice. You may cancel before a change takes effect.

6. Delivery and collection

Delivery options, charges and estimated timeframes are described in our Shipping Policy and at checkout:

Delivery dates are estimates rather than guarantees. Delays may occur because of carriers, weather, remote-area access, public holidays or circumstances outside our reasonable control. We will provide reasonable assistance if an order is delayed or missing.

You are responsible for supplying a complete and accurate delivery address and any necessary access instructions. Additional delivery costs caused by an incorrect address or failed delivery may be charged after we notify you.

We remain responsible for the products until they are delivered to the supplied address or collected by you. If you authorise an order to be left unattended, delivery is completed when the order is left in accordance with your instructions.

Please contact us promptly if an order arrives damaged, is incorrect or does not arrive so that we can investigate and provide an appropriate remedy.

Nothing in this section limits your rights under Australian Consumer Law.

7. Returns, refunds and consumer guarantees

Returns, refunds, exchanges and claims involving damaged, faulty or incorrectly supplied products are governed by our Returns and Refunds Policy:

Our products come with guarantees that cannot be excluded under Australian Consumer Law.

Nothing in these Terms limits your right to a refund, replacement, compensation or another remedy where required by law.

8. Acceptable use

You may use the Services only for lawful purposes.

You must not:

  • Use the Services fraudulently or unlawfully.

  • Provide false or misleading information.

  • Impersonate another person or entity.

  • Infringe another person’s intellectual property, privacy or other legal rights.

  • Upload or transmit malicious code.

  • Interfere with the security or operation of the Services.

  • Attempt to gain unauthorised access to an account, system or data.

  • Collect personal information from other users without lawful authority.

  • Use the Services to distribute spam or other unauthorised communications.

  • Use automated systems to access or extract content in a way that unreasonably burdens the Services, circumvents access controls or breaches instructions provided through our website.

This section does not prohibit legitimate search engines and other authorised services from accessing the website in accordance with our published technical instructions.

9. Intellectual property

Unless otherwise stated, the website and its content—including our branding, logos, product names, photographs, graphics, text, video, audio and website design—are owned by or licensed to Lazy Oak Coffee Co. and are protected by applicable intellectual property laws.

You may access and use the website for personal and lawful shopping purposes.

You must not reproduce, republish, distribute, modify, commercially exploit or create derivative works from our content without prior written permission, except where permitted by law.

“Lazy Oak Coffee Co.” and associated logos, product names, designs and slogans may not be used in a way that suggests endorsement, affiliation or ownership without our permission.

Shopify’s names, logos and trademarks belong to Shopify or its licensors.

10. Third-party services and links

The Services may include functionality, payment services, applications or links operated by third parties.

We do not control third-party websites or services and are not responsible for their independent content, availability, security or privacy practices.

Your use of a third-party service may be governed by that provider’s separate terms. Please review those terms before using the service or completing a transaction with the third party.

Nothing in this section limits our responsibility for services we are legally responsible for providing.

11. Relationship with Shopify

Lazy Oak Coffee Co. is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make through our store are made directly with Lazy Oak Coffee Co.

By using the Services, you acknowledge that Shopify is not the seller of our products and is not responsible for fulfilling your order or providing remedies relating to products purchased from us.

To the extent permitted by law, you release Shopify and its affiliates from claims arising solely from sales and purchases made directly between you and Lazy Oak Coffee Co.

Nothing in this section excludes rights or liabilities that cannot legally be excluded.

12. Privacy

Personal information collected through the Services is handled in accordance with our Privacy Policy:

Because our store is hosted by Shopify, Shopify and relevant service providers may collect and process information required to operate the store, process payments, prevent fraud and provide the Services.

13. Reviews and feedback

If you submit a review, photograph, suggestion or other content to us, you confirm that:

  • You own the content or have permission to submit it.

  • The content is accurate to the best of your knowledge.

  • You have disclosed any payment or incentive connected with the submission.

  • The content does not infringe another person’s rights or contain unlawful, defamatory, abusive or malicious material.

You grant us a non-exclusive, worldwide, royalty-free licence to store, reproduce and display that content for operating and promoting Lazy Oak Coffee Co., subject to applicable privacy law.

We may moderate or remove content that breaches these Terms or applicable law. We are not required to publish or respond to submitted content.

14. Errors and availability

Occasionally, the Services may contain typographical errors, inaccurate information or omissions relating to product descriptions, prices, promotions, availability, delivery charges or estimated timeframes.

We may correct these errors and update information when discovered. If an error materially affects an order already placed, we will contact you and provide an appropriate option, which may include confirming the corrected order or receiving a refund.

We do not guarantee that the website will always be uninterrupted, secure or error-free. We may temporarily suspend access for maintenance, security or operational reasons.

15. Suspension and termination

We may suspend or terminate access to an account where we reasonably believe it is being used unlawfully, fraudulently, in breach of these Terms or in a way that threatens the security or operation of the Services.

Termination does not affect rights or obligations that arose before termination, including payment obligations for valid orders and rights under Australian Consumer Law.

Provisions that are intended by their nature to continue after termination—including intellectual property, privacy, liability and governing law provisions—will continue to apply.

16. Warranties and liability

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or liability that cannot be excluded under Australian Consumer Law or other applicable law.

Subject to those non-excludable rights:

  • General website content is provided for informational purposes.

  • We are not responsible for loss caused by your unlawful use, misuse or unauthorised alteration of the Services.

  • We are not liable for loss that was not reasonably foreseeable as a result of our breach.

  • We are not responsible for failures caused solely by third-party systems or events outside our reasonable control, although we will continue to provide any remedy required by law.

Any exclusion or limitation in these Terms applies only to the maximum extent permitted by law.

17. Events outside our control

We are not responsible for delay or failure caused by events outside our reasonable control, such as natural disasters, severe weather, transport disruption, power or communications failure, government action or widespread supply-chain interruption.

If such an event materially prevents us from fulfilling an order, we will contact you and offer an appropriate solution, which may include delayed fulfilment, an alternative product or a refund.

18. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be read down to the extent necessary or severed. The remaining provisions will continue to apply.

19. Waiver

If we do not immediately enforce a right under these Terms, that does not waive the right or prevent us from enforcing it later.

20. Assignment

You may not transfer your rights or obligations under these Terms without our written consent.

We may transfer these Terms as part of a genuine sale, transfer or restructuring of our business, provided the transfer does not reduce your existing rights. Where reasonably practicable, we will notify affected customers.

21. Governing law

These Terms are governed by the laws of the Northern Territory and the Commonwealth of Australia.

The parties submit to the courts and tribunals with jurisdiction in the Northern Territory, subject to any rights you may have to bring a claim elsewhere under applicable law.

22. Changes to these Terms

We may update these Terms from time to time to reflect changes to our Services, business practices or legal obligations.

The current version will be published on this page with its updated date. Material changes will apply prospectively and we will provide notice where required by law.

Changes affecting an ongoing subscription will apply only after reasonable notice, giving you an opportunity to cancel before the change takes effect.

23. Entire agreement

These Terms, together with the policies and order details referenced in them, form the agreement between you and Lazy Oak Coffee Co. concerning your use of the Services and purchases through the website.

Any separate written wholesale or commercial agreement will take priority to the extent of an inconsistency.
